4. Eligibility

5. Proposals, Agreements & Scope of Work
5.1 Project Proposals
All proposals and quotations issued by WebGrit are valid for 15 days unless otherwise stated.
A project begins only after:
- Proposal approval
- Payment of required deposit
- Receipt of necessary project information
5.2 Scope Changes
Any requests beyond the agreed scope may require:
- Additional fees
- Timeline adjustments
- Revised project agreements
No additional work will commence until written approval is received.
5.3 Client Responsibilities
The Client agrees to:
- Provide required content, images, logos, and assets
- Provide timely feedback and approvals
- Maintain legal ownership or usage rights for supplied materials
- Respond to requests within reasonable timeframes
- Provide necessary access credentials when required
Delays in providing information may result in project timeline extensions.
6. Payment Terms & Billing
6.1 Fees
All project fees are outlined in the approved proposal or agreement.
Prices are quoted in Indian Rupees (INR) unless otherwise agreed.
Applicable taxes, including GST, may be charged separately where required by law.
6.2 Payment Schedule
Unless otherwise specified:
Website Projects
- 50% advance payment before work begins
- 50% before final website delivery
Maintenance Services
- Monthly payments in advance
Custom Development Projects
- Milestone-based payments as outlined in the agreement
6.3 Late Payments
Invoices are payable within 7 days of issuance.
For overdue invoices, WebGrit reserves the right to:
- Suspend work
- Delay project delivery
- Restrict access to completed work
- Charge interest of 2% per month on overdue balances
6.4 Refund Policy
Due to the nature of digital services:
- Deposits are non-refundable once work has commenced.
- Completed work is non-refundable.
- Refund requests are evaluated solely at WebGrit's discretion.
7. Intellectual Property Rights
7.1 Client Materials
All logos, trademarks, content, and materials provided by the Client remain the property of the Client.
The Client grants WebGrit a limited license to use such materials solely for project completion.
7.2 Project Deliverables
Upon full payment:
- Website designs
- Source files
- Custom code developed specifically for the Client
become the property of the Client unless otherwise stated.
7.3 Agency Assets
WebGrit retains ownership of:
- Internal frameworks
- Templates
- Development methodologies
- Reusable code libraries
- Proprietary systems
used during project execution.
7.4 Portfolio Rights
WebGrit may showcase completed projects in:
- Portfolios
- Case studies
- Social media
- Marketing materials
unless otherwise agreed in writing before project commencement.
8. Website Hosting & Third-Party Services
Where projects involve third-party providers such as:
- Hosting companies
- Domain registrars
- Payment gateways
- WordPress plugins
- Shopify apps
- External APIs
the Client acknowledges that:
- Third-party services operate independently of WebGrit.
- Pricing and policies are determined by those providers.
- WebGrit is not responsible for outages, pricing changes, account suspensions, or service disruptions caused by third parties.
9. Project Timelines & Delays
Estimated timelines are based on information available at project commencement.
Project timelines may be affected by:
- Delayed client feedback
- Scope changes
- Third-party service delays
- Technical issues outside our control
WebGrit shall not be liable for delays caused by factors beyond our reasonable control.
10. Client Content & Legal Compliance
The Client is solely responsible for all content provided to WebGrit.
The Client warrants that supplied content:
- Does not infringe intellectual property rights
- Does not violate any laws
- Is not defamatory, fraudulent, or misleading
- Complies with applicable regulations
WebGrit reserves the right to refuse work involving illegal or unethical content.
11. Website Warranty
For custom-developed websites, WebGrit provides a 30-day bug-fix warranty after project completion.
The warranty covers:
- Coding errors
- Functional issues related to delivered features
The warranty does not cover:
- New feature requests
- Third-party plugin issues
- Hosting-related problems
- Changes made by the Client or third parties
12. Termination of Services
12.1 Termination by Client
The Client may terminate services by providing written notice.
Any work completed up to the termination date remains payable.
12.2 Termination by WebGrit
We may terminate services immediately if:
- Payments remain overdue
- The Client engages in abusive conduct
- The Client requests illegal activities
- Continuing the project presents legal or reputational risks
12.3 Project Handover
Upon full payment, WebGrit will provide agreed deliverables and transfer relevant assets within a reasonable timeframe.
13. Limitation of Liability
To the fullest extent permitted by law, WebGrit shall not be liable for:
- Loss of profits
- Business interruption
- Loss of data
- Indirect or consequential damages
- Website downtime caused by third parties
Our total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
14. Indemnification
The Client agrees to indemnify and hold harmless WebGrit, its employees, contractors, and affiliates against any claims, damages, losses, liabilities, and expenses arising from:
- Client-provided content
- Violation of laws or regulations
- Intellectual property infringement
- Misuse of delivered websites or services
15. Confidentiality
Both parties agree to keep confidential any non-public information exchanged during the project.
This obligation survives termination of the agreement for a period of two (2) years.
16. Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
Both parties agree to attempt good-faith negotiation before initiating legal proceedings.
17. Force Majeure
WebGrit shall not be liable for delays or failures caused by events beyond reasonable control, including:
- Natural disasters
- Internet outages
- Government actions
- Cyber attacks
- Power failures
- Pandemics
- Third-party platform disruptions
18. Amendments
WebGrit reserves the right to modify these Terms at any time.
Updated versions will be published on our website with a revised effective date.
Continued use of our services constitutes acceptance of any updated Terms.
19. Entire Agreement
These Terms, together with any approved Proposal, Quotation, Statement of Work, or Service Agreement, constitute the entire agreement between WebGrit and the Client.
If any provision is deemed unenforceable, the remaining provisions shall remain valid and enforceable.
